1. The Services; Accounts
1.1 Eligibility.
You must be at least 18 years old. If you sign up on behalf of an entity, you represent you have authority to bind that entity; “you” means that entity.
1.2 Roles.
Hosts list and manage properties; guests search and book. TripSkip is not a travel agency, broker, property manager, or insurer.
1.3 Third‑party integrations.
You may connect third‑party providers (e.g., Hostaway, Guesty, OwnerRez, Lodgify, Stripe, fraud/ID vendors). Your use of those services is governed by their terms. TripSkip is not responsible for outages or data handling by third parties.
2. Your Content & License
2.1 Ownership.
You retain ownership of content you upload (e.g., photos, descriptions, rates). You grant TripSkip a worldwide, non‑exclusive, royalty‑free license to host, cache, reproduce, display, and distribute such content solely to operate, secure, and improve the Services, including sublicensing to our processors. We will request separate consent to use content in external marketing.
2.2 Accuracy & compliance.
You are responsible for ensuring your content is accurate, lawful, non‑infringing, and compliant with applicable laws, zoning, and tax obligations. We may remove content that violates these Terms.
3. Acceptable Use
You will not: (a) misuse the Services; (b) scrape, crawl, or reverse engineer; (c) upload malware; (d) interfere with security; (e) use the Services to discriminate or violate law; (f) misrepresent listings or availability; (g) circumvent fees.
4. Subscriptions, Billing, Auto‑Renewal & Taxes
4.1 Plans.
Host subscriptions are tiered by total active listings: Founders (unlimited, first 5,000 hosts), Growth (up to 25), Pro (up to 99), and Enterprise (100+ via sales). Draft listings do not count toward plan limits.
4.2 Pricing cadence.
Annual memberships are prepaid. Prices are tax‑exclusive.
4.3 AUTO‑RENEWAL DISCLOSURE.
Subscriptions renew until canceled. You may cancel anytime in Account → Billing; cancellations take effect at the end of the current term. Renewal price and next charge date are displayed at checkout and in your account.
4.4 Upgrades & proration.
Upgrades mid‑term take effect immediately with a prorated charge for the remaining portion of your current term (“Upgrade True‑Up”). Downgrades take effect at the next renewal; no partial refunds.
4.5 Auto‑upgrade threshold and notice.
If your active listings exceed plan limits for more than 48 hours (after a 24‑hour grace of +1 listing), we will notify you by email and in‑app at least 24 hours before an auto‑upgrade takes effect. You may reduce listings before the effective time to avoid the change.
4.6 Trials and promotions.
If you receive a trial or promotional rate, standard pricing applies after the promotional period unless you cancel before renewal.
4.7 No mid‑term refunds.
Except where required by law, fees are non‑refundable during a billing term. Taxes are your responsibility.
4.8 Payment processor.
Payments are processed by Stripe under its terms. You authorize recurring charges and agree to keep payment information current.
5. Bookings; Host–Guest Relationship
Bookings occur directly between host and guest. TripSkip provides a marketplace and tools but is not a party to host–guest agreements and does not control properties, verify listings, or provide insurance. Hosts are solely responsible for accuracy, compliance, safety, deposits, damages, and cancellations. Guests must follow house rules and pay applicable fees.
6. Changes to the Services and Terms
We may modify or discontinue features with reasonable notice when practical. For material economic changes (e.g., price, billing structure), we will give 30 days’ notice and apply such changes at renewal of your current term.
7. Accessibility
We aim to conform to WCAG 2.1 Level AA and provide assistance at accessibility@tripskip.com. We periodically review accessibility upon major releases.
8. Service Levels; Support; Beta
8.1 Uptime.
We target industry‑standard availability; planned maintenance may occur.
8.2 Support.
Email or in‑app support during standard business hours (Pacific Time).
8.3 Beta features.
Betas are provided AS IS and may be withdrawn at any time.
9. Ownership; Feedback
The Services, software, and data models are owned by TripSkip and its licensors. You assign to TripSkip all right, title, and interest in and to any feedback, and waive any moral rights therein.
10. Privacy; Data Use
Our Privacy Policy explains how we handle personal information, analytics, de‑identified market insights, and your rights (including California “Do Not Sell/Share” and Global Privacy Control). By using the Services, you acknowledge the Privacy Policy.
11. Compliance; Export; Sanctions
You will comply with all applicable laws, including short‑term rental rules, zoning, tax, anti‑spam, export controls, and sanctions.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT BOOKINGS WILL OCCUR, THAT OCCUPANCY OR REVENUE WILL INCREASE, OR THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPSKIP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EXCEPT FOR AMOUNTS EXPRESSLY DUE UNDER THESE TERMS, OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID TO TRIPSKIP FOR THE SERVICES IN THAT PERIOD. THE FOREGOING EXCLUSIONS AND CAPS DO NOT APPLY TO LIABILITY FOR WILLFUL MISCONDUCT, FRAUD, OR YOUR INDEMNITY OBLIGATIONS FOR IP INFRINGEMENT.
14. Indemnification
You will defend, indemnify, and hold harmless TripSkip and its affiliates, officers, employees, and agents from third‑party claims, damages, liabilities, costs, and expenses arising out of: (a) your content, listings, or conduct; (b) non‑compliance with rental laws, fee disclosures, or taxes; (c) your use of the Services in violation of these Terms or law; or (d) infringement or misappropriation of third‑party rights by your content.
15. Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control (e.g., natural disasters, labor disputes, internet or hosting outages, denial‑of‑service attacks, acts of government). For qualifying outages, your exclusive remedy is a service credit or early termination without penalty, as reasonably determined by TripSkip.
16. Suspension & Termination
We may suspend or terminate your access for violations of law or these Terms. You may cancel at any time; cancellation is effective at the end of your current billing term.
17. Dispute Resolution; ARBITRATION AGREEMENT; CLASS ACTION WAIVER
BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU AGREE TO THE FOLLOWING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED BELOW.
17.1 Informal resolution.
Before filing a claim, you agree to email legal@tripskip.com with a written description of the dispute and allow 30 days to attempt resolution.
17.2 Arbitration.
Except for small‑claims or injunctive relief, disputes will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. Location: Sacramento County, California (or remote video). The arbitrator may award individual relief only.
17.3 CLASS ACTION WAIVER.
Disputes are heard only on an individual basis; class, representative, or collective actions are not permitted.
17.4 Opt‑out.
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing arbitration-optout@tripskip.com with your account information.
18. Governing Law; Venue
These Terms are governed by California law, excluding conflicts principles. Subject to the arbitration clause, the exclusive venue for any permitted court action is the state or federal courts located in Sacramento County, California, and the parties consent to personal jurisdiction there.
19. Assignment; Severability; Entire Agreement; No Waiver
TripSkip may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. If any provision is unenforceable, it will be modified to the minimum extent necessary; the remainder remains in effect. These Terms constitute the entire agreement between you and TripSkip with respect to the Services. No waiver is effective unless in writing.
20. DMCA; IP Complaints
Report alleged infringement to: DMCA Agent, Title: Legal, North Bay Digital Holdings LLC dba TripSkip, 1401 21ST ST STE R, Sacramento, CA 95811, legal@tripskip.com. Include the notices required by 17 U.S.C. §512(c).
21. Changes to Terms
We may update these Terms. Material changes will be notified via the Services or email. Material economic changes take effect at renewal and not less than 30 days after notice. Continued use after the effective date constitutes acceptance.
